By accessing and using the Akkad Inventory Management System (the "Service"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms constitute a legally binding agreement between you and Akkad regarding your use of our Service.

Grant of License:

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes.

License Restrictions:

You may not:

• Modify, copy, or reverse engineer any part of the Service
• Use the Service for illegal purposes or activities
• Attempt to gain unauthorized access to our systems or networks
• Share your account credentials with unauthorized users
• Use the Service beyond your subscription limits
• Interfere with or disrupt the Service or our servers

Account Registration:

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the confidentiality of your account credentials
• You must be at least 18 years old to use the Service

Organization Management:

• Organization owners have full control over user management and permissions
• Owners may delegate user management rights to other users
• You are responsible for all activities under your account and organization
• You are liable for the actions of your team members

Account Security:

• Notify us immediately of any unauthorized use of your account
• We are not liable for losses resulting from unauthorized account access
• You agree to use strong passwords and follow security best practices

Subscription Plans:

• Plans are based on the number of users in your organization
• You may upgrade your plan at any time during your billing cycle
• Downgrades require canceling your current plan and subscribing to a lower tier after expiration
• Billing is handled securely through RevenueCat

Free Trial:

• We offer a 7-day free trial with access for up to 3 users
• No payment information required during the trial period
• Trial automatically expires without automatic conversion to paid plan

Payment and Billing:

• Subscriptions automatically renew each billing cycle
• Payment must be received by the due date to maintain service access
• We provide a grace period for failed payments before suspending service
• All fees are non-refundable

No Refund Policy:

• All subscription fees are final and non-refundable
• Service continues until the end of your current billing period after cancellation
• No partial refunds for unused portions of subscription periods

Your Data:

• You retain full ownership of all data you input into the Service
• This includes inventory data, customer information, orders, and uploaded content
• You are responsible for the accuracy and legality of your data
• You grant us permission to store and process your data to provide the Service

Intellectual Property:

• You retain all rights to item photos, descriptions, and other content you upload
• You are responsible for ensuring you have rights to any copyrighted material you upload
• We do not monitor or verify copyright ownership of user-uploaded content

Service Improvement:

• We may use aggregated and anonymized data to improve our Service
• Individual user data will never be shared without your consent
• All data usage complies with our Privacy Policy

Service Uptime:

• We strive to maintain high service availability (targeting 99.9% uptime)
• We do not guarantee uninterrupted or error-free service
• Planned maintenance will be announced with advance notice when possible

Support Services:

• We provide email support during regular business hours
• Support is included with all paid subscriptions
• We are not responsible for issues related to your hardware or internet connection

Service Modifications:

• We may modify, update, or discontinue features with reasonable notice
• We reserve the right to suspend the Service for maintenance or security reasons
• Major changes affecting functionality will be communicated in advance

Prohibited Activities:

You agree not to:

• Use the Service for illegal activities or purposes
• Upload malicious code, viruses, or harmful software
• Attempt to breach our security measures or access unauthorized areas
• Harass, abuse, or harm other users
• Violate intellectual property rights of others
• Use the Service in a way that could damage, disable, or impair our systems
• Share account access with unauthorized parties

Content Restrictions:

• You may not use the Service to manage illegal goods or services
• Content must comply with applicable laws and regulations
• We reserve the right to remove content that violates these Terms

Enforcement:

• Violations may result in account suspension or termination
• We reserve the right to investigate suspected violations
• Repeated violations or severe violations will result in permanent account termination

Severe Violations Include:

• Security breaches or attempts to access unauthorized data
• Using the Service for illegal activities
• Uploading malicious software or harmful content
• Sharing account credentials with unauthorized parties
• Deliberately circumventing subscription or usage limits

Service Disclaimers:

• The Service is provided "as is" without warranties of any kind
• We do not guarantee the accuracy of inventory valuations or calculations
• We are not responsible for business decisions made based on Service data
• Users are responsible for verifying all inventory records and calculations

Limitation of Liability:

• We are not liable for any indirect, incidental, or consequential damages
• Our total liability is limited to the amount paid for the Service in the 12 months preceding the claim
• We are not responsible for data loss due to user actions or force majeure events

Third-Party Integrations:

• We are not liable for issues with third-party services or integrations
• Third-party services are subject to their own terms and policies
• Integration performance depends on third-party service availability

Termination by You:

• You may cancel your subscription at any time through your account settings
• Service continues until the end of your current billing period
• Account data will be deleted according to our Privacy Policy

Termination by Us:

• We may suspend accounts for policy violations or payment issues
• Suspension allows opportunity to resolve issues before permanent termination
• Permanent termination occurs for severe violations or repeated breaches
• We provide 14 days' notice before termination for payment-related issues

Effect of Termination:

• Access to the Service ends immediately upon termination
• Your data will be deleted according to our data retention policy
• You remain responsible for all charges incurred before termination
• These Terms survive termination where applicable

Our Rights:

• We own all rights to the Service, including software, design, and technology
• Our trademarks, logos, and brand elements are our exclusive property
• Users may not reproduce or distribute our intellectual property

User Content:

• You retain ownership of content you create and upload
• You grant us a license to use your content solely to provide the Service
• You represent that you have rights to all content you upload

Feedback and Suggestions:

• Any feedback or suggestions you provide become our property
• We may use feedback to improve the Service without compensation
• You waive any rights to feedback or suggestions provided to us

Governing Law:

• These Terms are governed by German law
• Any disputes will be resolved in German courts

Force Majeure:

• We will make reasonable efforts to restore service and communicate with users during outages

Entire Agreement:

• These Terms, along with our Privacy Policy, constitute the complete agreement
• These Terms supersede all previous agreements or understandings
• We reserve the right to modify these Terms at our discretion with appropriate notice
